Any future offering
If The PGR Group LLC makes an offering in the future, it would be made only to accredited investors, as defined in Rule 501(a) of Regulation D, whose status has been verified under Rule 506(c) of Regulation D under the Securities Act of 1933. Any such offering would be made only by means of definitive offering documents, including a private placement memorandum and subscription agreement, and in compliance with U.S. federal and applicable state securities laws.
Those documents, and not this website, would govern the terms, rights, fees, conflicts of interest, and risks of any offering.
Restricted securities and liquidity
Securities issued under Regulation D are restricted securities. They may not be resold or transferred except under an effective registration or an available exemption, and they may be subject to minimum holding periods and additional contractual transfer limits.
Interests would be restricted securities, and holders should expect to hold them indefinitely. Any transfer would require an available securities-law exemption and manager consent under the operating agreement. BRIX does not and would not operate a trading venue.
